1. Overview
At Ctrl-X Digital Limited, we aim to provide high-quality, reliable hosting services. These Terms & Conditions govern your use of our hosting and related services. By using our services, you agree to abide by the terms set out in this document.
2. Keeping Up to Date
We may revise these terms from time to time. We will notify you of any material updates that could impact your account or service.
3. Support
Support is provided via email only to ensure all requests are logged and traceable.
Please consult the cPanel user manual for initial support before contacting us where appropriate.
We aim to respond to most support queries within 48 hours.
Additional support relating to services outside the hosting scope, including third-party services, local devices, software, website development, plugin customisation, or content updates, may be billed at our standard hourly rate.
Automated monitoring is used to monitor hosted services and website availability.
While we will always make reasonable efforts to respond promptly to critical issues, resolution outside normal office hours cannot be guaranteed.
4. Acceptable Use
Our services must only be used for lawful purposes. Prohibited activities include, but are not limited to:
- Storing or distributing copyrighted, obscene, defamatory, or illegal material
- Hosting adult content or unlawful material
- Engaging in abusive, disruptive, or malicious behaviour
We reserve the right to remove or restrict content or services that violate these policies where necessary.
Ctrl-X Digital Limited reserves the right to determine what constitutes a breach of these terms.
5. Passwords & Security
Clients are responsible for maintaining secure passwords for all hosted services and website administration accounts.
Use of a password manager is strongly recommended.
Passwords and login credentials should not be shared via email.
Clients are responsible for the security of credentials shared with third parties, including staff, contractors, or external agencies.
We reserve the right to require password resets where there is a suspected security issue or compromised account.
6. Server and Script Use
Background-running programs or scripts that disrupt server performance are not permitted.
Custom scripts may be used provided they do not negatively affect server stability or performance.
Scripts known to be resource-intensive may be limited, suspended, or disabled where necessary to maintain service stability for all users.
7. Resource Usage
Websites must not excessively impact shared server resources. We reserve the right to suspend or restrict services where necessary to maintain stability and performance for all users.
8. WordPress Updates
WordPress core and plugin updates are generally applied as soon after release as practical.
While most updates complete without issue, we cannot guarantee compatibility with all themes, plugins, or third-party services.
Where issues occur following an update, we will make reasonable efforts to resolve the issue or, where practical, roll back the affected update.
9. Intellectual Property
You may not use our services to infringe intellectual property rights, including but not limited to trademarks, trade secrets, or copyrighted content.
10. Defamation
Defamatory content hosted or distributed via our platform is strictly prohibited and may result in suspension, termination, or legal action.
11. Spam & Unsolicited Emails
You must not send unsolicited emails (spam) using our services.
Your domain must not appear in spam-related content sent from third-party systems.
Any account found to be involved in spam activity may be suspended or terminated without refund.
12. Abuse
Threats, harassment, libel, or attempts to undermine Ctrl-X Digital infrastructure, services, or staff may result in immediate suspension or termination and possible legal action.
13. Indemnification
You agree to indemnify Ctrl-X Digital Limited against any claims, liabilities, losses, damages, or legal fees arising from your breach of these terms or misuse of our services.
14. Billing & Payments
Hosting is billed monthly via Direct Debit or at another agreed frequency.
Monthly invoices are generally issued on the 1st of each month, with payment collected shortly thereafter.
All invoices for additional support work are due within 14 days of issue.
Late payments may result in suspension or termination of services.
15. Renewals
Hosting and domain services automatically renew unless cancelled in advance.
Cancellation requests must be submitted by email at least 30 days before renewal.
No refunds will be given for late cancellation or unused service time following renewal.
16. Cancellations
To cancel your account, please contact support by email with at least 30 days’ notice.
Simply transferring or pointing your domain elsewhere does not constitute cancellation.
17. Refunds
You may cancel within 7 days of your first invoice to receive a full refund, excluding domain registration fees, SSL certificates, dedicated IP addresses, setup fees, or third-party costs.
After this period, no refunds will be issued.
18. Domain Expiry & Redemption
Domains will automatically renew for their original registration duration unless otherwise agreed.
Domains not renewed within 30 days may enter a redemption period during which additional recovery fees may apply.
After the redemption period, domains may be released for public registration.
Where clients manage their own domains, they are responsible for ensuring renewals are processed correctly. Failure to do so may result in domain loss.
19. Service Availability & Backups
We strive to provide reliable hosting services but do not guarantee uninterrupted availability or 100% uptime.
Sites and databases are backed up daily.
Daily backups are retained for 7 days. After 7 days, one backup per week is retained for the following month.
We will make reasonable efforts to restore data from backup where possible, but restoration cannot be guaranteed.
Clients are strongly encouraged to maintain independent backups for critical services.
Ctrl-X Digital Limited is not liable for data loss or associated consequences.
20. Communication & Account Ownership
All communication is between Ctrl-X Digital Limited and the registered account holder.
Where an agency, developer, or third party manages services on behalf of an end client, the account should be registered in the end client’s name wherever possible. Where this is not practical, the third party accepts responsibility for ensuring the end client is aware of and agrees to these terms.
We cannot discuss account details with any party not registered as the account holder or explicitly authorised in writing.
21. Disclaimer
Ctrl-X Digital Limited provides services “as is” without warranties of any kind.
We do not guarantee uninterrupted service, data integrity, or compatibility with all third-party software or services.
We are not responsible for failures, disruption, delays, or compatibility issues caused by third-party services including domain registrars, DNS providers, plugin developers, payment gateways, external APIs, or third-party infrastructure providers.
All implied warranties, including merchantability or fitness for a particular purpose, are disclaimed to the fullest extent permitted by law.
22. Enforcement & Termination
Violations of these terms may result in warnings, suspension, restriction, or permanent termination of services.
Ctrl-X Digital Limited reserves the right to modify these Terms & Conditions from time to time.
23. Governing Law
These Terms & Conditions are governed by the laws of Scotland. Any disputes arising from or in connection with these terms shall be subject to the exclusive jurisdiction of the Scottish courts.
24. Assignment
Ctrl-X Digital Limited may assign, transfer, or otherwise deal with these Terms & Conditions, including all rights and obligations, to a third party in connection with a sale or transfer of all or part of our business. You will be given no less than 30 days’ written notice of any such assignment. You may not assign or transfer your rights or obligations under these terms without our prior written consent.
25. Data Processing & Privacy
Ctrl-X Digital Limited processes personal data in accordance with UK data protection law, including the UK GDPR and the Data Protection Act 2018. Personal data collected in connection with your account and services is used solely for the purpose of providing and administering those services.
